日本製鉄 USスチール買収 巨額投資に見合った収益生み出せるか
USスチールの買収計画をめぐり日本製鉄は、完全子会社化の形での買収がアメリカ政府から認められたとしています。会社は買収によって、成長が見込まれるアメリカ市場で事業拡大を図る戦略ですが、巨額の投資に見合った収益を生み出せるかが課題となります。
アメリカの鉄鋼大手、USスチールの買収計画をめぐり日本製鉄は14日、アメリカ政府と国家安全保障協定を締結したうえで、トランプ大統領から両社のパートナーシップが承認されたと発表しました。
日本製鉄は、完全子会社化の形での買収がアメリカ政府から承認されたとしています。
今回の買収計画は、バイデン前大統領が禁止命令を出したことで一度は実現が極めて厳しい状況となりましたが、トランプ大統領がバイデン前大統領の決定を覆し、事実上、買収を認める異例の展開となりました。
会社は2兆円規模となるUSスチールの買収を通じて、高級製品の需要が高く、成長が見込めるアメリカ市場で事業の拡大を目指す戦略です。
ただ、今回、両社がアメリカ政府と締結した協定には
▽日本製鉄が2028年までにおよそ110億ドル、日本円で1兆6000億円を新たに投資することや
▽アメリカ政府がUSスチールの経営の重要事項について拒否権を行使できる特殊な株式「黄金株」を持つことが盛り込まれています。
アメリカ政府がUSスチールの経営に一定の影響力を持つ中で、日本製鉄が経営の自由度を確保しながら当初のねらいどおりに巨額の投資に見合った収益を上げていけるかが課題となります。
